Seafoods Group, one of the largest integrated seafood companies in
the U.S., is a harvester and processor of a variety of seafood
species. The Company is the leading harvester and at-sea processor
of pollock, which is the highest-volume whitefish used for human
consumption, and the largest processor of catfish. American Seafoods
also harvests and processes cod, scallops and yellow fin sole. The
company’s products include fillet blocks, pollock roe (fish eggs)
and surimi (a fish protein paste used in products such as imitation
lobster and crabmeat). The company’s pollock and other whitefish
products are sold to secondary processing companies, roe importers,
foodservice companies and restaurant chains in North America, Asia
and Europe on a generic basis while its catfish, scallop and other
products are marketed to restaurants, retailers, wholesalers and
foodservice companies in the U.S. under a variety of proprietary
brands. In November 2005, USEPII sold all of its equity interests in
the company. In August 2008, USEPII acquired a new preferred equity
stake in the company. |

| USEP II acquired Prism Business Media Inc. in 2005. At the time, Prism was the fifth largest B2B media company in the U.S. and a leading producer of targeted publications, web sites and exhibitions. Prism’s products represented leading trade media franchises, with 78% of its titles holding the #1 or #2 positions in their respective markets. In February 2007, Prism acquired Penton Media Inc., another leading trade media company with a highly complementary product platform, to create the largest independent B2B media company in the U.S (which operates under the Penton brand name).
At the time of the Penton acquisition, USEP II sold 50% of its interest in Penton to MidOcean Partners. USEP II continues to control a 50% interest in Penton in partnership with MidOcean. |
